Compass pays a licensing fee to embed HausMatch visual search inside their platform. HausMatch retains the company and IP. Fast to execute — no M&A process required.

Strategic Investment

Compass invests in HausMatch at an early valuation, secures preferred access or exclusivity in real estate, while we continue building. Venture model — Compass gets upside exposure.

Option C

Acquisition

Compass acquires the technology, team, and roadmap outright. Full ownership of the IP and the data moat. Floor: $3–5M for a working product with a defensible technical foundation.

Anticipated Objections — and How We Answer Them
We have an engineering team. Why can't we build this ourselves?
You can — in 18 to 24 months, after you've figured out the CLIP fine-tuning, vector indexing at scale, and the UX that actually converts. We've already done that work. The question isn't capability, it's speed. Zillow is not sleeping on this.
This is a cool demo. Is it production-ready?
The demo runs on 25 listings. The architecture — Supabase, pgvector, CLIP embeddings — is exactly what scales to your full listing catalog. The jump from demo to production is a Phase 2 build, not a rebuild. We're already scoped for it.
What does this cost?

  4. I understand that this acknowledgment is a Letter of Intent to proceed and to execute a formal Engagement Agreement. It does not itself constitute the full Engagement Agreement or the Equity Grant Instrument, which will be drafted and executed separately.
